Prototype Testing Terms and Conditions

1. About these terms

These Prototype Testing Terms and Conditions (“Terms”) apply when you participate in the testing or evaluation of a FlexiDesk prototype.

The testing programme is operated by:

In these Terms, “FlexiDesk”, “we”, “us” and “our” refer to FlexiDesk Solutions Limited. “Participant”, “tester”, “you” and “your” refer to the person participating in the testing programme.

Please read these Terms carefully before agreeing to participate. You should also read any safety instructions, test plan, privacy information or additional conditions supplied for the particular testing session.

2. Purpose of prototype testing

FlexiDesk prototypes are being tested to help us evaluate and improve areas including:

  • Stability

  • Strength

  • Comfort

  • Adjustability

  • Portability

  • Assembly and disassembly

  • Ease of use

  • Compatibility with different seats

  • Product dimensions and positioning

  • User instructions

  • General design and appearance

The information and feedback collected during testing may be used to develop future versions of FlexiDesk.

Participation does not guarantee that your suggestions will be included in the final product.

3. Prototype status

You acknowledge that the FlexiDesk provided for testing is a development prototype and not necessarily a finished retail product.

A prototype may:

  • Differ from the version eventually offered for sale

  • Contain temporary, 3D-printed or pre-production components

  • Have visible marks or imperfections

  • Require additional care during use

  • Have limitations that will be explained before testing

  • Be modified or withdrawn following testing

  • Not include final packaging, labelling or instructions

The prototype must only be used for the testing activities authorised by FlexiDesk.

Participation in prototype testing is not a purchase, preorder or guarantee that you will receive a final production product.

4. Eligibility

Participants must provide accurate information when applying or registering for prototype testing.

Unless otherwise agreed in writing, participants must be aged 18 or over.

A person aged 16 or 17 may participate where:

  • FlexiDesk has approved their participation;

  • Written consent has been provided by a parent or legal guardian; and

  • Suitable adult supervision is provided where required.

Testing involving a participant under 16 will only be permitted as part of an appropriately supervised session arranged with a parent, guardian, school, college or other responsible organisation and approved by FlexiDesk in advance.

FlexiDesk may request reasonable evidence of age, identity or parental responsibility.

We may refuse or end participation where we reasonably believe that testing would be unsafe, unsuitable or inconsistent with the purpose of the programme.

5. Health and suitability

FlexiDesk is a seated workstation. Prototype testing may involve sitting down, standing up, assembling components, adjusting the product and using a laptop or similar lightweight equipment.

Before participating, you must tell the test coordinator about any relevant condition, injury, mobility restriction or other circumstance that could make participation unsafe.

This may include significant:

  • Back, neck, shoulder or joint problems

  • Balance or mobility difficulties

  • Recent injuries or surgery

  • Pregnancy-related mobility concerns

  • Conditions affecting your ability to sit, stand or follow safety instructions

You are not required to provide unnecessary medical details. However, we may be unable to allow participation if we do not have enough information to assess whether testing can be conducted safely.

Providing relevant information does not guarantee that participation will be approved.

You should not participate if you feel unwell, dizzy, impaired, excessively tired or otherwise unable to use the prototype safely.

If you are uncertain whether participation is suitable for you, seek advice from an appropriate healthcare professional before taking part.

6. Safety instructions

You agree to:

  • Read and follow all instructions provided by FlexiDesk

  • Attend or watch any required safety briefing

  • Use the prototype only for its intended purpose

  • Follow the directions of the test coordinator

  • Stop immediately if instructed to do so

  • Report any damage, looseness, instability or unusual movement

  • Ask for assistance if you are unsure how to assemble, adjust or use the prototype

  • Use the prototype only with equipment permitted by the test instructions

  • Keep within the maximum load stated for the particular prototype

  • Use the prototype only on an appropriate and stable seat

  • Keep the area around the prototype clear

  • Take reasonable care of yourself, other people and surrounding property

You must not:

  • Stand, climb, kneel or sit on the work surface

  • Use the prototype as a step, stool, chair, mobility aid or lifting device

  • Exceed the stated load limit

  • Apply sudden, excessive or uneven force

  • Modify, drill, cut, glue, repair or dismantle components except as instructed

  • Use damaged, cracked, loose or missing components

  • Move the chair or seat while the prototype is being used

  • Use the prototype on a damaged, unstable, unsuitable or excessively soft seat

  • Allow another person to use the prototype without approval

  • Allow children or pets to interfere with the prototype

  • Use the prototype while under the influence of alcohol, illegal drugs or medication that significantly affects safe participation

  • Continue testing after noticing pain, discomfort, numbness, instability or a possible fault

FlexiDesk may issue additional instructions for a particular prototype or session. Those instructions form part of these Terms.

7. Compatible seating and surroundings

Not every chair, sofa, stool or seat will be suitable for FlexiDesk.

Before testing begins, the seat should be checked for stability, condition, dimensions and compatibility with the prototype.

Do not use the prototype with:

  • Broken or unstable seating

  • Seats that tip, rotate or roll unexpectedly

  • Seats that are too small to support the base correctly

  • Surfaces that prevent the prototype from sitting securely

  • Seating identified as unsuitable by FlexiDesk

  • A location where the prototype obstructs an exit or creates a trip hazard

Where testing takes place without a FlexiDesk representative present, you must follow the supplied compatibility guidance and contact us if you are uncertain.

8. Assembly and adjustments

Only assemble, dismantle or adjust the prototype in accordance with the instructions provided.

Before each use, check that:

  • The correct components are present

  • Components are positioned in the correct orientation

  • Fasteners and adjustment points are secure

  • The work surface is properly supported

  • The seat base is correctly positioned

  • There are no visible cracks, excessive wear or damaged parts

  • The selected height position is properly engaged

  • The prototype does not show unexpected movement

Do not force a component into position.

If the prototype cannot be assembled correctly, stop and contact FlexiDesk. Do not attempt an improvised repair.

9. Personal equipment and belongings

Where permitted, you may be asked to use a laptop, tablet, notebook or other personal item during testing.

You are responsible for:

  • Ensuring that your equipment is suitable for the test

  • Saving and backing up important work before testing

  • Keeping liquids away from the prototype and electronic equipment

  • Securing cables so they do not create a trip or pulling hazard

  • Following any equipment limits stated in the test instructions

  • Removing personal belongings when the test is complete

FlexiDesk will take reasonable care during organised testing. However, you should avoid using unusually valuable, fragile or irreplaceable equipment.

Nothing in these Terms excludes or restricts liability where doing so would be unlawful.

10. Stopping a test

You may pause or stop participating at any time.

You should stop immediately if:

  • You experience pain, discomfort, dizziness or numbness

  • The prototype feels unstable

  • A component becomes loose or damaged

  • You hear cracking or another unusual sound

  • The seat moves unexpectedly

  • You do not understand the instructions

  • You believe continuing could be unsafe

Stopping a test will not affect your ability to provide feedback or apply for future testing opportunities.

FlexiDesk may pause, change or end a test at any time for safety, operational, research or development reasons.

11. Accidents, faults and safety concerns

Any accident, injury, near miss, product fault or property damage must be reported to FlexiDesk as soon as reasonably possible.

Where safe to do so:

  • Stop using the prototype

  • Keep the prototype and affected components in their existing condition

  • Do not attempt a repair

  • Record what happened

  • Take photographs of the prototype and surrounding area

  • Provide relevant details requested for the investigation

In an emergency, seek appropriate medical assistance before contacting FlexiDesk.

Reports will be reviewed to help determine whether testing should be paused, whether the prototype requires inspection and whether changes are needed.

12. Supervised and home testing

Testing may take place:

  • At an organised FlexiDesk session

  • At a school, college, university, library, workplace or partner location

  • At the participant’s home

  • At another location approved by FlexiDesk

For supervised testing, you must follow the instructions of the test coordinator and the rules of the venue.

Home testing will only be permitted where specifically agreed. Home testers must:

  • Keep the prototype at the approved address

  • Follow the supplied test plan and safety instructions

  • Prevent unauthorised use

  • Store the prototype securely when it is not being tested

  • Contact FlexiDesk before changing the testing location

  • Stop testing immediately if a fault or safety concern arises

  • Make the prototype available for inspection or collection when reasonably requested

13. Ownership of prototypes

All prototypes, components, packaging, instructions and supplied accessories remain the property of FlexiDesk Solutions Limited unless we expressly agree otherwise in writing.

You must not:

  • Sell, hire, lend, give away or dispose of the prototype

  • Use it for commercial purposes

  • Claim ownership of it

  • Copy or manufacture it

  • Allow an unauthorised person or organisation to inspect or test it

  • Remove identification labels or prototype numbers

  • Publish technical measurements or internal design details where these have been identified as confidential

Receiving a prototype does not transfer ownership or grant you any licence to FlexiDesk’s intellectual property.

14. Care, loss and damage

You must take reasonable care of the prototype while it is in your possession.

Normal wear arising from properly authorised testing will not usually be charged to you.

You must tell us promptly if the prototype is lost, stolen or damaged.

We will consider the circumstances before deciding whether any further action is appropriate. We will not charge you automatically for accidental damage arising from normal, authorised use.

However, you may be responsible for reasonable losses caused deliberately or through serious misuse, unauthorised modification, prohibited use or failure to take reasonable care.

Nothing in this section affects any rights or responsibilities that cannot lawfully be excluded.

15. Collection and return

Where a prototype is loaned to you, FlexiDesk will confirm the expected testing and return period.

You agree to:

  • Keep the original packaging where requested

  • Return all supplied components and accessories

  • Package the prototype according to the instructions

  • Make it available for an agreed collection

  • Inform us promptly if the agreed collection cannot take place

  • Stop using it when the testing period ends or when requested

If a prototype is not returned, we will contact you and provide a reasonable opportunity to arrange its return before considering further action.

16. Feedback and test results

You may be asked to provide feedback through:

  • Questionnaires

  • Interviews

  • Written comments

  • Ratings

  • Measurements

  • Observations

  • Photographs or recordings of the prototype

  • Follow-up discussions

Please provide honest feedback based on your genuine experience.

FlexiDesk may use, analyse, combine and anonymise test feedback for product development, research, reporting, presentations, funding applications and business planning.

You retain ownership of any original material you create. However, you grant FlexiDesk Solutions Limited a worldwide, perpetual, royalty-free and non-exclusive licence to use, reproduce, adapt and analyse feedback you voluntarily provide for product development and related business purposes.

This licence does not automatically permit us to publicly identify you or use your photograph, video, name or testimonial for marketing. Those activities require separate permission where appropriate.

You are not entitled to payment, royalties or ownership of FlexiDesk intellectual property merely because an idea, observation or suggestion you provide is later used, unless a separate written agreement states otherwise.

17. Photographs, video and testimonials

Participation in testing does not automatically mean that you agree to appear in marketing material.

We may record photographs or video for:

  • Private test analysis

  • Safety investigation

  • Internal product development

  • Public marketing or promotional use

Where identifiable media will be used publicly, we will request separate and specific permission.

You may refuse marketing photography or publicity without losing the ability to participate in testing, unless appearing in media is an essential and clearly explained part of a particular event.

A separate media consent form should explain:

  • What will be recorded

  • How it may be used

  • Where it may be published

  • Whether your name will be included

  • How to withdraw permission for future use

Withdrawing permission may not require us to retrieve materials already printed or remove content already incorporated into completed publications, but we will stop new use where reasonably possible and legally required.

18. Confidential information

Some testing may involve designs, components or information that have not been made public.

If confidentiality applies, we will identify the relevant information before it is disclosed and may ask you to accept a separate confidentiality agreement.

Unless confidentiality has been specifically agreed, you may discuss your general experience of participating. However, you must not publish:

  • Another participant’s personal information

  • Private documents or communications

  • Security information

  • Information obtained through unauthorised access

  • Material that infringes another person’s rights

  • Statements you know to be false or misleading

Please ask us before publishing detailed photographs, measurements or demonstrations of an unreleased prototype.

19. Data protection and privacy

FlexiDesk will process personal information connected with prototype testing in accordance with applicable data-protection law and our Privacy Policy.

Information may include:

  • Your name and contact details

  • Age range

  • Relevant suitability information

  • Testing dates and locations

  • Questionnaire responses and observations

  • Product measurements and usage information

  • Accident, fault or safety reports

  • Photographs or recordings where applicable

  • Parent or guardian information for younger participants

Information about health or physical limitations may receive additional protection under data-protection law. We will only collect information reasonably required for safety, suitability or research purposes and will identify an appropriate legal basis and additional condition where required.

Marketing consent, media consent and any other optional consent will be requested separately from acceptance of these Terms.

20. Payment, expenses and incentives

Unless stated otherwise, participation is voluntary and unpaid.

If FlexiDesk offers an incentive, reimbursement, discount, voucher or other benefit, the details and any conditions will be explained before testing.

Participation does not guarantee:

  • A free production product

  • A particular launch discount

  • Priority access

  • A preorder allocation

  • Employment or future paid work

  • Reimbursement of expenses that were not agreed in advance

Any agreed travel or other expenses must be supported by reasonable evidence where requested.

21. Liability

Nothing in these Terms excludes or restricts liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Breach of any obligation that cannot lawfully be excluded

  • Any other liability that the law does not allow us to exclude or restrict

FlexiDesk will take reasonable steps to plan and conduct prototype testing safely. Participants must also follow the safety instructions and take reasonable care.

Subject to the paragraph above, FlexiDesk will not be responsible for loss or damage caused by:

  • Deliberate misuse of the prototype

  • Use contrary to the supplied instructions

  • Unauthorised modification or repair

  • Continued use after a fault or safety warning becomes apparent

  • Use of unsuitable seating or equipment

  • Allowing an unauthorised person to use the prototype

  • Failure to take reasonable care of personal belongings

Nothing in these Terms affects your statutory rights.

22. Withdrawal from the programme

You may withdraw from testing at any time by contacting us.

If a prototype has been loaned to you, withdrawal does not remove your responsibility to keep it secure and return it as agreed.

FlexiDesk may suspend or remove a participant from the programme where reasonably necessary, including because of:

  • Safety concerns

  • Failure to follow instructions

  • Serious or repeated misuse

  • Abusive, threatening or inappropriate behaviour

  • Unauthorised disclosure of confidential information

  • Failure to return a prototype

  • Cancellation or alteration of the testing programme

Where practical, we will explain the reason for ending participation.

23. Changes to the testing programme

Prototype development is an evolving process. We may change:

  • The prototype design

  • Testing dates or locations

  • The planned activities

  • Safety instructions

  • Eligibility requirements

  • The duration of testing

  • The feedback process

  • These Terms

Where a significant change affects an existing participant, we will provide updated information and request fresh agreement where appropriate.

We may cancel or postpone testing where necessary for safety, product-development, staffing, venue or operational reasons.

24. Third-party venues and organisations

Where testing takes place through a school, college, university, library, employer or other partner, additional venue rules or participation conditions may apply.

FlexiDesk and the relevant organisation may each be responsible for different parts of the activity and for different uses of personal information.

Any important additional conditions will be explained before testing.

25. General provisions

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

A delay in enforcing a provision does not mean that the relevant right has been waived.

No person other than the participant, their parent or guardian where applicable, and FlexiDesk Solutions Limited has a right to enforce these Terms unless expressly stated otherwise.

These Terms, together with the applicable test plan, safety instructions, Privacy Policy and any separately signed agreement, form the agreement governing participation.

If there is a conflict, any specific written safety requirement or testing agreement supplied for the relevant session will take priority where appropriate.

26. Governing law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, although participants living elsewhere in the United Kingdom may have rights to bring proceedings in their local courts.
